Z- Old Menu of Services

How this works

The easiest way to use these menus is to determine who you are (such as a founder or funder) and select what you need.

For example, imagine you are a founder with one partner, each of you has IT to contribute, you are based in Texas and you want to engage a consultant to do some coding for you. Let’s get started.

First, you need to decide what type of business entity your firm needs to be. Select:

  • Consultation to determine form of entity:  $500

Assume that you are destined to be a corporation operating under Subchapter S of the Internal Revenue Code, we would assist in forming that entity …

  • Certificate of Incorporation (excluding filing and local agent fees): $0
  • Incorporator’s Consent:  $0
  • First Consent of the Board of Directors:  $0
  • By-Laws:  $0
  • Form of Share Certificate: $0
  • Subchapter S election: $0

If you want an agreement that establishes the relative rights and obligations that you and your partner have with respect to the business, including your ability to transfer shares, then you would want one of these.

  • Shareholders’ Agreement:  $2,500

Now each of you and your partner want to contribute specific intellectual property to the business. Great.

  • Invention Assignment Agreement: $1,000 x 2

And now an agreement to engage your consultant:

  • Consulting agreement:  $1,500

Here are your total deliverables and fees:

  • Consultation to determine form of entity:  $500
  • Certificate of Incorporation (excluding filing and local agent fees): $0
  • Incorporator’s Consent:  $0
  • First Consent of the Board of Directors:  $0
  • By-Laws:  $0
  • Form of Share Certificate: $0
  • Subchapter S election: $0
  • Shareholders’ Agreement:  $2,500
  • Invention Assignment Agreement: $1,000 x 2
  • Consulting agreement:  $1,500

Total fees:     $6,500.
